These Terms of Service (the "Terms") are a binding agreement between you and Fynaxis ("we", "us", "our") governing your access to and use of fynaxis.com and its content (the "Site"). By accessing or using the Site, you agree to these Terms and to our Privacy Policy and Cookie Policy, which are incorporated by reference. If you do not agree, do not use the Site.
You may use the Site only if you can form a binding contract with us and are not barred from doing so under applicable law. If you use the Site on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms, and "you" includes that organisation. The Site is intended for business users; it is not directed to children.
The Site provides general information about Fynaxis and our Salesforce consulting services. Its content is provided for general informational purposes only and does not constitute professional, legal, financial, tax, or technical advice, and it must not be relied upon as such. Nothing on the Site is an offer capable of acceptance, a solicitation, or a warranty, and no advisory or fiduciary relationship is created by your use of the Site.
Any metrics, figures, timelines, response targets, service-level indications (including any intake or "response within 24 hours" statement), case studies, and examples shown on the Site are illustrative and provided for general guidance only. They are not promises or guarantees of any particular result, saving, timeframe, or performance. Actual outcomes depend on many factors specific to your organisation, data, scope, and cooperation, and are defined only in a signed written agreement. Statements about future plans or capabilities are forward-looking and may change without notice.
Any provision of consulting or professional services by Fynaxis is governed exclusively by a separate written services agreement, statement of work, or order signed by both parties (a "Services Agreement"). These Terms govern only your use of the Site. If there is any conflict between these Terms and a Services Agreement in relation to services, the Services Agreement controls for those services.
The Site and all of its content — including text, graphics, logos, icons, images, layout, design, and the selection and arrangement of content (excluding third-party marks and content) — are owned by or licensed to Fynaxis and are protected by copyright, trademark, and other intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and view the Site for your own internal, non-commercial informational use. Except as expressly permitted, you may not copy, reproduce, republish, frame, distribute, modify, create derivative works from, publicly display, or commercially exploit any part of the Site without our prior written consent. All rights not expressly granted are reserved.
Salesforce, Agentforce, Einstein, Service Cloud, Field Service, Experience Cloud, Slack, and related names and logos are trademarks of Salesforce, Inc. and its affiliates. Other product, service, and company names on the Site are the trademarks of their respective owners. Fynaxis is an enrolled Salesforce Consulting Partner; references to these marks are for identification and descriptive purposes and are used in accordance with the applicable partner and trademark guidelines. Fynaxis is an independent company and is not Salesforce, Inc.; nothing on the Site should be read as Salesforce endorsing or being responsible for Fynaxis.
When you submit information through a form or by email, you represent that it is accurate, that you have the right to provide it, and that you are not submitting another person's personal data without their authority. You grant us the right to use the information you submit to respond to you and to provide and improve our services, subject to our Privacy Policy. Do not submit confidential information you do not wish to disclose, or any sensitive personal data.

The Site may contain links to, or embed content from, third-party websites and services (such as maps) that we do not control. Your use of third-party sites and services is governed by their own terms and privacy policies.
We may modify, suspend, or discontinue any part of the Site at any time, with or without notice. We do not guarantee that the Site will be available, uninterrupted, timely, secure, or error-free, and we are not liable for any unavailability. We may also update these Terms as described in section 17.
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, FYNAXIS DISCLAIMS ALL WARRANTIES AND CONDITIONS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE OR ITS CONTENT IS ACCURATE, COMPLETE, RELIABLE, CURRENT, UNINTERRUPTED, SECURE, OR FREE OF VIRUSES OR ERRORS. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you; in that case, such warranties are limited to the minimum extent permitted by law.
TO THE FULLEST EXTENT PERMITTED BY LAW, FYNAXIS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SITE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that the law does not permit to be limited. This section does not affect any mandatory statutory or consumer rights you have that cannot be waived; those rights are unaffected to the extent the law so requires. Liability relating to any services we provide is governed by the applicable Services Agreement, not by these Terms.
To the extent permitted by law, you agree to indemnify and hold harmless Fynaxis and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and reasonable expenses (including legal fees) arising out of or related to your misuse of the Site, your violation of these Terms, your violation of any law, or your infringement of any third-party right.
Our collection and use of personal data in connection with the Site is described in our Privacy Policy and Cookie Policy, which form part of these Terms.
These Terms and any dispute or claim arising out of or in connection with them or the Site (including non-contractual disputes) are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Subject to section 16, you agree to the exclusive jurisdiction of the courts located in Nova Scotia, Canada. Nothing in this section deprives you of the protection of mandatory consumer-protection laws or the right to bring proceedings in the courts of your country of residence where applicable law gives you that right.
Before starting any formal proceeding, you agree to contact us first and attempt in good faith to resolve the dispute informally by writing to contact@fynaxis.com; we will do the same. To the extent permitted by law, any claim relating to the Site must be brought within one (1) year after it arises, failing which it is permanently barred.
